1. Acceptance of Terms
By accessing or using the Curb platform at app.curb.direct (the "Service"), operated by Curb Direct ("Curb," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
Curb is a software-as-a-service platform that helps automotive dealerships manage private-party vehicle acquisition workflows, including lead management, appointment scheduling, dispatch, and related tools.
3. Accounts and Eligibility
You must be at least 18 years old to use the Service. Accounts are created by dealership administrators who invite authorized personnel. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized use
- Providing accurate and current information
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to the Service, other accounts, or related systems
- Interfere with or disrupt the Service or servers
- Use automated means to access the Service without our prior written consent
- Reverse engineer, decompile, or attempt to extract source code
- Use the Service to send spam, harassment, or abusive communications
- Upload malicious code, viruses, or harmful content
5. Customer Data
You retain all rights to the data you or your dealership submit to the Service ("Customer Data"). You grant Curb a limited license to host, process, and display Customer Data solely to provide the Service. You are responsible for obtaining all consents required for any personal information contained in Customer Data, including consumer lead information.
6. Intellectual Property
The Service, including its software, design, logos, and content (excluding Customer Data), is owned by Curb Direct and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription term.
7. Subscription and Payment
Access to the Service may require a paid subscription governed by a separate agreement with your dealership. Fees are non-refundable except as required by law. We may suspend or terminate accounts with past-due balances.
8. Third-Party Services
The Service may integrate with third-party services (e.g., Google OAuth, CRM systems, email providers). Your use of those services is subject to their own terms. We are not responsible for third-party services.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CURB DIRECT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO CURB IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold Curb Direct harmless from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.
12. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive.
13. Changes to Terms
We may update these Terms from time to time. Material changes will be announced via the Service or email. Your continued use after changes take effect constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Ohio.
